Sirach2 Subscription Terms

Draft—not yet in force. These terms must be reviewed and approved by Kyle Ankle and qualified legal/tax advisers before live subscriptions are accepted. The preview form does not create a paid subscription.

1. Parties and agreement

These Subscription Terms govern a subscription to Sirach2 supplied by Kyle Ankle through 12 Tribes Advisory Limited (“Provider”, “we”, “us”). The subscribing individual or organisation is the “Customer”. The order confirmation, selected plan, Sirach2 End-User Licence Agreement (“EULA”), Privacy Notice, and Refund Policy form part of the agreement.

2. Subscription plans

The Customer receives access only to the modules, active-user limit, authorised-device limit, companies, support level, and term stated in the accepted order. Current plan defaults are:

  • Starter: 5 users, 2 devices, core, sales, purchasing, and accounting.
  • Growth: 15 users, 8 devices, Starter modules plus inventory and payroll.
  • Professional: 40 users, 25 devices, all standard Sirach2 modules.
  • Enterprise: limits and services stated in a separate written order.

Plan features may improve over time. A material reduction will not be applied during a prepaid term unless required for security, law, or third-party dependency changes.

3. Prices, taxes, and payment

Prices are stated in the order and normally billed in advance in the displayed currency. The Customer is responsible for applicable taxes, duties, withholding, bank fees, and currency-conversion charges unless the order states otherwise. Live recurring payments will be processed through an approved payment provider. The Provider does not collect or store full payment-card details.

4. Renewal, upgrades, and downgrades

A recurring subscription renews for the same billing period until cancelled. Eligible self-service plans may begin with a seven-day free trial. The Customer authorises the payment method when starting the trial and will be charged the displayed monthly or annual price after the trial unless the subscription is cancelled through the payment provider before the trial ends. Trial availability is limited to one trial per customer, company, and associated device group unless the Provider approves otherwise.

The Provider will send or display a trial-ending reminder where the configured notification channel is available. The Customer remains responsible for cancelling before the first billing date if they do not wish to continue. The Customer will be told the applicable renewal price before any later price change takes effect. Upgrades may take effect immediately with an agreed prorated charge. Downgrades normally take effect at the next renewal and may require the Customer to reduce users, devices, companies, or modules first.

5. Licence activation and devices

Each Customer receives a unique licence. The licence may be bound to authorised devices using a signed entitlement. The Customer must protect activation credentials and may not share, sell, sublicense, publish, or transfer them. A legitimate replacement device may be activated after an old device is deactivated or the Provider approves a transfer.

6. Customer accounts and security

The Customer controls its administrators, users, passwords, roles, permissions, backups, and lawful use. The Customer must promptly report suspected unauthorised access. The Provider may suspend an affected credential or device where reasonably necessary to protect the Customer, other users, or the service.

7. Local data, cloud services, and backups

The Customer owns the business data it enters. Sirach2 is local-first; cloud sync, remote access, hosted backups, integrations, migration, and implementation are included only when stated in the order. The Customer remains responsible for tested offline backups and for exporting data needed for legal retention.

8. Expiry, failed payment, and cancellation

After a subscription expires or a permitted offline-grace period ends, the customer build may enter read-only and export mode. We will not intentionally hold the Customer’s data hostage. A failed payment may trigger notices, retries, suspension, or non-renewal. Cancellation stops future renewal but does not erase amounts already due.

9. Support, updates, and implementation

Support, onboarding, training, data migration, custom reports, integrations, regulatory configuration, and cloud deployment are provided only to the extent stated in the plan or separate written order. The Customer must test updates and outputs before relying on them in production.

10. Acceptable use

The Customer must not use Sirach2 to violate law, infringe rights, introduce malicious code, defeat security or licence controls, gain unauthorised access, or provide unapproved hosting or bureau services to third parties.

11. Professional and regulatory responsibility

Sirach2 supports recordkeeping and reporting but is not a substitute for professional accounting, tax, payroll, legal, security, or regulatory advice. The Customer must review configurations, calculations, approvals, filings, backups, and outputs for its country and business.

12. Warranties and liability

Mandatory legal rights remain unaffected. Except for warranties expressly stated in a signed order, Sirach2 is provided “as is” and “as available”. To the maximum extent permitted by law, neither party is liable for indirect or consequential loss. Any negotiated liability limit must be stated in the accepted order or a separate signed agreement.

13. Termination

Either party may terminate for an uncured material breach after reasonable written notice, or immediately where continued service would be unlawful or create a serious security risk. On termination, licence rights end subject to lawful record-retention and agreed transition arrangements.

14. Governing law

Unless a signed order states otherwise, these terms are governed by the laws of Jamaica, without excluding mandatory protections that apply in the Customer’s jurisdiction.
